1. About these terms

These terms are the agreement between you and DECOMPLEXITY (Pty) Ltd, trading as StateSync (“StateSync”, “we”, “us”), for the StateSync desktop app, the website at statesync.net and the account service behind them (the “service”). Creating an account, signing in to the app or using the service means you agree to these terms and to our Privacy Policy.

StateSync is intended for adults. We do not intend to market or sell it to anyone under 18, or under the age of majority where they live, and we do not direct our marketing at them. By subscribing you confirm you are of that age. If you use the service for an organization, you confirm you may bind it. Organizations that need different terms can ask us for an enterprise agreement, which then applies instead.

2. What StateSync does

StateSync is a desktop app that runs the coding agents you already use, such as Claude Code, Codex and OpenCode, on your own accounts with those providers. It applies our own researched methods, which aim to improve the cost, speed and quality of an agent's work. Among other things, it trims tool output before it reaches the model, keeps a map of your project on your computer, and lets you switch agents mid-task. It does not resell or replace your agent subscriptions, and your use of each agent stays under that provider's terms. We improve the service over time and may stop supporting older versions of the app, so you may need to update the app to keep using the service.

3. Your account

You sign in with Google, GitHub or a one-time code emailed to you; there is no password, so keep your mailbox secure. You are responsible for activity under your account and should tell us straight away if you think someone else has access. Each computer you use must be authorized from your account, up to the number your plan allows.

Paid features are available once you have accepted these terms and the Privacy Policy. When we publish a new version, you are asked to accept it; until you do, you cannot start or change a plan, but the access you already have continues, though we may stop supporting older versions of the app at our discretion. Cancelling never requires accepting a new version.

4. Plans and prices

There are four plans, Core, Pro, Max and Ultra, each billed monthly. Every plan includes all of StateSync. Plans differ only in their weekly usage allowance and in how many devices you can authorize: Pro carries 6x Core's allowance, Max 25x, and Ultra 125x. Core and Pro allow 1 device; Max and Ultra allow up to 3. The plans and prices are on the pricing page, and the plans and details published there form part of these terms. We may add, change or withdraw plans there at any time for new purchases. A change to the price, allowance or computer limit of a plan you already subscribe to applies to you from a renewal at least 30 days after we email you about it, and you can cancel before it does.

Early access pricing. Prices rise as early access places are taken. The first 50 places pay the opening price, the next 50 pay 25% more, and after that each plan costs 50% more than its opening price. Once your account holds an early access price, it keeps the lowest one it has held, including when you change plan or subscribe again. The price you will pay is always the one shown at checkout.

Our payment provider. Plans are currently sold by Polar (polar.sh), our merchant of record and reseller. Polar runs the checkout, charges you, issues invoices and receipts, handles sales tax and VAT, and processes refunds and chargebacks, under its own buyer terms. We license the software to you under these terms, and never receive your card details. If Polar's buyer terms and these terms differ on payment, tax or refunds, Polar's apply.

We may add or change the payment provider, reseller or merchant of record we use, on terms similar to Polar's, without needing your agreement where your own payments are not affected. In these terms and our Privacy Policy, “our payment provider” means Polar or whichever provider we use at the time.

Subscriptions renew automatically each month at your plan's price until you cancel. You can cancel at any time from the billing portal linked on your account page, and access continues to the end of the month you have paid for. A price change we make applies only from a future renewal, and a change you make to your subscription happens only after you confirm it. Apart from the early access price steps above, we will email subscribers at least 30 days before a change to their plan's price takes effect, and you can cancel before it does.

5. Free trials

A free trial lasts 14 days for the first 50 early access places and 7 days after that; the length that applies to you is shown before you start. You give payment details up front and nothing is charged during the trial. The trial runs on the plan you chose, with that plan's allowance, and then becomes a paid subscription to that plan unless you cancel first. Our payment provider emails you a reminder before it does. Free trials are one per person: a trial is for trying StateSync, not for repeated free use, so a computer that has already had a trial may not be able to start another on a different account.

You can also end a trial early, either by starting your plan now (you are charged and the subscription begins) or by cancelling (you are not charged). Neither happens without your confirmation, and the amount is shown first.

If a payment fails, you keep access for up to 14 days after the renewal date while our payment provider retries it. If it still fails, paid features stop; nothing on your computer is removed.

6. Usage allowances and how usage is counted

Your allowance is measured in credits and resets every 7 days from the start of your subscription. Your account page shows your current allowance and how much of it you have used.

Your plan is a fixed monthly price with no extra charges. Our usage tracking aims to use up your weekly allowance in proportion to how much StateSync saves you, as accurately as possible: an action that saves you a lot uses more than one that saves you little. Credits have no cash value and do not carry over to the next week. To count this, the app sends us the billing and fault-tracking information described in the Privacy Policy. There is no setting to turn it off, because most of it is what we use to work out how much StateSync saved you. We work to count your usage accurately, and where there is doubt we lean towards charging you less, not more.

Moving up takes effect straight away and your usage for the week starts again from zero. Our payment provider charges the difference in price for the rest of the month you have paid for, shown before you confirm, and your billing date stays the same. Moving down takes effect at the end of the month you have paid for. A plan cannot be changed during a trial. If you use up your allowance, StateSync's savings features are paused until it resets or you move up; the app keeps working and nothing on your computer is changed.

If the app cannot reach us, it keeps working for up to 72 hours on an allowance issued in advance, and reports the work when it reconnects. Work reported within a day of your week ending counts toward the week it was done in.

7. Cancellation, refunds and your consumer rights

Cancel any time from the billing portal on your account page; access continues to the end of the month you have paid for. Uninstalling the app does not cancel a subscription. Deleting your account does: we ask our payment provider to cancel it at the end of the month you have paid for, so you are not charged again.

Everyone can start with one free trial, so you can try StateSync before you pay. If StateSync is not worth it to you, email support@statesync.net with your invoice reference and tell us what went wrong. We will do our best to refund you where we can and for what is fair, and decide each request case by case. Months that have already ended are normally not able to be refunded. Refunds are paid back to the card you used, through our payment provider, not by us directly; our payment provider may also decide refund requests itself under its own buyer terms. A full refund of your current month ends your subscription straight away; a partial refund does not.

Your rights as a consumer stay. South African consumers have the cooling-off right in section 44 of the Electronic Communications and Transactions Act where it applies. Nothing in these terms removes rights you have under consumer law where you live that cannot be excluded.

8. Your code and your data

You keep all rights in your code, prompts and other content. StateSync runs on your computer and does not send them to us, so we claim no licence to them and never use them to train any model. What StateSync produces on your computer, such as trimmed tool output or the project map, is yours.

If you send us feedback or ideas, we may use them freely, without payment or credit.

9. Your licence to use StateSync

We grant you a personal, non-exclusive, non-transferable licence to install and use the app on the number of devices your plan allows, for your own work, while these terms apply to you. We keep all other rights in the service, including the StateSync name and brand. Open source components are licensed under their own licences, which apply to them instead of this section.

You have no right or permission to copy, modify, sell, sublicense or reverse engineer the service or to extract its source code, except where the law allows you to, and you agree not to attempt to.

10. Acceptable use

Use StateSync lawfully and within your providers' terms. Do not:

  • create or spread malware, or attack, probe or gain unauthorized access to any system;
  • interfere with or overload the service, or work around its allowances, device limits or licence checks;
  • share your account, or authorize more devices than your plan allows;
  • resell the service, or use our software to build a competing product;
  • create more than one account to get more trials or early access prices;
  • use the service in breach of sanctions or export laws that apply to you or to us.

We may suspend or close an account that breaks this section, and may also suspend an account for unpaid fees, a security risk, or where the law requires. Where it is practical and safe, we tell you why and give you a chance to fix it first.

11. Coding agents and other services

StateSync works with services we do not run: the coding agents and model providers you connect, your sign-in providers, and our payment provider. Each runs under its own terms and privacy policy, including how it uses your data, and we are not responsible for them. Some providers limit how their sign-ins and plans may be used with other software; following those terms is your responsibility, and whether a provider accepts StateSync is its decision. By using the app you allow it to read your provider sign-in files on your computer and use that sign-in to work with the provider for you.

Product names and logos of coding agents and providers belong to their owners and are used only to show what StateSync works with. StateSync is independent and is not endorsed by them.

12. Savings figures and benchmarks

The savings StateSync shows are estimates, not a measurement of your bill or a promise of what you will save. Your results depend on your projects, agents, models and habits. Benchmark results we publish describe specific tasks under the conditions at the time; they show our method, not your results. Comparisons of agents, models or tools are our view at a point in time, not an endorsement.

13. Agents do the work, and our responsibility

Please read this section. StateSync lets the coding agents you choose do work on your computer. It does not write, edit, run or delete your code on its own: every change to your files and every command is made by an agent, following your instructions and the permissions you give it. Agents are AI systems, and their output can be wrong, incomplete or harmful. Review what they produce before you run, ship or rely on it, use version control and keep backups.

So far as the law allows, we are not responsible for any loss or damage caused by what an agent does or produces while you use StateSync, including lost or damaged code, files or data, security problems, or costs charged by your providers. We provide the service with reasonable care and skill, but we do not promise it will be uninterrupted, error-free, or work with every agent, model or provider version.

If you use StateSync for a business, the service is provided as is, apart from the promises in these terms, and our total liability to you for anything arising from the service is limited to what you paid us in the 12 months before the claim arose or US$100, whichever is more, we are not liable for indirect or consequential loss, lost profits or lost business, and you will compensate us for third-party claims caused by your breach of section 10 or by work you ran through the service. If you are a consumer, these limits apply only as far as the law where you live allows.

Nothing in these terms limits liability that the law does not allow to be limited, such as for fraud, gross negligence, wilful misconduct, or death or personal injury caused by negligence.

14. Ending the agreement

You may stop using the service and delete your account at any time; the Privacy Policy explains what is erased and when. We may end these terms for you on reasonable notice, or at once for a serious breach or where the law requires. We may also discontinue StateSync, in whole or in part, by giving at least 30 days' notice. If we end these terms without cause or discontinue the service, we will refund the unused part of the month you paid for, and we are not obliged to keep StateSync's app features working after the service ends. Sections 8, 9, 13 and 16 continue to apply after the agreement ends.

15. Changes to these terms

We publish each version with its date and ask you to accept it the next time you sign in. If you do not accept it, you can cancel and stop using the service; until you accept, you cannot start or change a plan.

16. Law and disputes

These terms are governed by the law of South Africa, and the courts of South Africa have jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the country where you live and may bring a claim in its courts where those laws allow. Please write to us first; most problems are quickest to fix that way. South African consumers may also contact the National Consumer Commission, and consumers elsewhere their local consumer authority.

17. General

These terms and the Privacy Policy are the whole agreement between us about the service. If part is unenforceable, the rest continues. A delay in enforcing a term does not waive it. You may transfer your rights only with our written consent; we may transfer ours as part of a sale or reorganization of the business and will tell you if we do. Neither of us is liable for failures caused by events beyond reasonable control. We may send notices to your account email or in the service.
